Part I. Master Terms of Service

These Master Terms of Service govern access to and use of the Tipz+ platform, websites, applications, QR-code experiences, hosted payment interfaces, dashboards, communications, and related services made available by Tipz Financial Inc. (“TFI”) They apply to all users, whether acting as a tipper, a tip earner, a business, or a visitor.

By accessing or using Tipz+, you agree to these terms and to any additional policies, role-specific terms, or program rules that apply to your use. If you use Tipz+ on behalf of a business or other entity, you represent that you have authority to bind that entity to these terms.

1. Definitions

“Business” means a company, proprietor, venue, team, location, organization, or other commercial or institutional user that subscribes to Tipz+ for Business or otherwise uses business-facing services.

“Tip Earner” means an individual who receives gratuities, tips, service acknowledgments, or similar amounts through Tipz+, whether employed by a business, engaged as an independent contractor, or self-employed.

“Tipper” means a person who submits a gratuity or related voluntary payment through Tipz+.

“Platform” means the Tipz+ technology stack, including web properties, QR-code landing pages, software, APIs, business dashboards, hosted flows, support experiences, and related services.

“Payment Processor” means Stripe or another third-party payments provider designated by TFI from time to time.

“Connected Account” means a payment account established with the Payment Processor for a Tip Earner or other approved recipient.

“Promotion” means an incentive, offer, coupon, reward, sponsored benefit, or campaign that may be shown, funded, administered, or redeemed through Tipz+ or through third-party partners.

2. Eligibility and General Conditions

You must be legally able to enter into a binding contract and comply with all applicable laws. You may not use Tipz+ if you are barred from using the services under applicable law, sanctions restrictions, or payment network rules.

You may be required to provide accurate and complete information to use certain services. You are responsible for maintaining the confidentiality of credentials and for all activity occurring under your account or access method, except to the extent caused by TFI’s failure to use reasonable safeguards.

TFI may refuse service, suspend access, delay features, restrict transactions, or require additional information where reasonably necessary to protect the platform, comply with law, satisfy Payment Processor requirements, investigate suspected fraud, or address operational risk.

3. Role Structure

Tipz+ is structured around three principal user personas, and your rights and obligations vary by role.

Tippers. Tippers may generally submit a gratuity without creating an account. They interact primarily with hosted payment flows, disclosures, receipts, and any optional offers or promotional content.

Tip Earners. Tip Earners create accounts, complete required onboarding, connect payout credentials through the Payment Processor, and may receive tips either directly or through rules-based pooling and allocation workflows.

Businesses. Businesses may subscribe to Tipz+ for Business to configure team, location, pooling, visibility, promotion, and reporting settings. Businesses do not receive tip funds from TFI and do not access the Payment Processor on behalf of Tip Earners unless expressly enabled in a separate approved product design.

4. Platform Scope and Service Description

Tipz+ is a cashless tipping platform designed to help users leave and receive gratuities in environments where the tipper may not be carrying cash. The platform may also include optional promotions, business tools, pooling rules, analytics, support content, and related features.

TFI may update, improve, add, remove, or discontinue features at any time. Certain features may be limited by geography, device, partner requirements, underwriting, user role, legal restrictions, or operational readiness.

TFI may use third-party components and service providers, including payment processors, identity verification vendors, cloud providers, communications vendors, analytics providers, customer-support systems, and offer or advertising partners.

5. Payments, Fees, and Funds Flow

TFI acts as the platform provider and may act as merchant of record for transactions processed through Tipz+, subject to the architecture, disclosures, and processor arrangements then in effect. Payment processing is performed by the Payment Processor and its financial institution partners.

For direct tipping and worker payout flows, TFI is designed so that tip funds are processed through the Payment Processor and routed to eligible Tip Earners or other approved recipients under platform rules. TFI’s objective is to avoid taking custody of tip funds, although settlement timing, reserves, risk reviews, and processor controls may affect how funds are handled operationally.

Tippers may be charged a convenience fee, service fee, processing-inclusive fee, or similar disclosed charge. Fees, if any, will be displayed before submission. Businesses and Tip Earners may have access to free core functionality, while premium features may carry optional subscription, usage-based, or program fees.

TFI may net, collect, retain, or pass through fees in accordance with applicable disclosures, processor rules, and program terms. Taxes may apply to certain fees or services even if the gratuity itself is treated differently under applicable law.

6. Tipper Terms

Tipping through Tipz+ is voluntary unless otherwise expressly disclosed in a separate checkout context. By submitting a tip, you authorize the total amount shown, including the gratuity and any disclosed fee, and you represent that you are authorized to use the selected payment method.

TFI cannot guarantee that every transaction will be approved, completed, or irreversible. Transactions may be declined, delayed, reversed, refunded, or disputed due to card-network rules, fraud review, processor controls, chargebacks, legal requirements, or user error.

Tippers are responsible for confirming the recipient context before completing a gratuity. Where Tipz+ is used in pooled or team environments, tips may be allocated under pre-established program rules rather than to a single named individual.

If TFI provides a receipt, confirmation page, offers message, or follow-up communication, that communication is part of the service experience and may include transaction details, support information, or optional promotion content consistent with these terms and the privacy policy.

7. Tip Earner Terms

A Tip Earner must complete any required registration, identity verification, tax, payout, sanctions, or eligibility steps required by TFI or the Payment Processor. TFI may deny or limit access where onboarding cannot be completed or maintained.

Tip Earners are responsible for keeping their account information, payout details, tax information, and contact information current. Inaccurate or incomplete information may lead to delayed onboarding, suspended payouts, returned funds, or deactivation.

Tip Earners understand that payout timing depends on processor capabilities, risk controls, banking rails, reserve practices, holidays, cut-off times, account status, and other factors outside TFI’s direct control. Any reference to fast or instant payout is descriptive of feature availability, not a guarantee.

Tip Earners are solely responsible for their own tax reporting, legal classification, employment status, labor-law compliance, and obligations owed to their employer, customers, or government authorities. TFI does not provide tax, payroll, employment, or legal advice.

8. Business Terms

Businesses may use Tipz+ for Business to configure locations, teams, administrators, QR assets, role mappings, permissions, tip-pooling rules, promotion settings, and related operational features. Business access may be limited to authorized users designated by the business.

Businesses acknowledge that Tipz+ for Business is designed to support team and business-level features and is not required for an individual Tip Earner to sign up and use Tipz+ for non-pooled tipping. A Tip Earner may use Tipz+ with or without business participation, subject to platform rules.

Businesses do not receive tip funds from TFI unless TFI launches and the parties separately agree to a different approved product. In the default architecture reflected by this document, businesses do not touch, possess, settle, or access tip funds through Tipz+.

Businesses are responsible for ensuring that their pooling configurations, location settings, employee assignments, and internal operating rules comply with applicable wage-and-hour law, tip-credit rules, labor law, hospitality rules, local regulations, union obligations, and employer policies. TFI provides tooling, not legal validation of the business’s chosen configuration.

9. Tip Pooling and Allocation Rules

Where Tipz+ supports pooled or rules-based allocations, businesses or authorized administrators may configure forward-looking business logic, such as shift-based pools, team pools, role percentages, or other deterministic allocation methodologies supported by the platform.

Pooling rules are intended to function as configurable logic rather than ad hoc control over payment accounts. Businesses do not gain direct access to the Payment Processor by configuring those rules. TFI may rely on configured rules, associated metadata, and available operational records to instruct the Payment Processor regarding eligible allocations.

TFI may reject, delay, or require correction of a pooling configuration that appears incomplete, inconsistent, unlawful, operationally unworkable, or incompatible with the Payment Processor or platform architecture.

TFI does not guarantee that every configured rule is lawful in every jurisdiction or employment arrangement. Businesses remain responsible for determining whether they are permitted to use pooling, how to structure pools, who may participate, and whether notice, consent, payroll treatment, tax treatment, or other steps are required.

10. Promotions, Offers, and Rewards

TFI may display or administer promotions, offers, coupons, loyalty-related content, or sponsored messages to tippers, tip earners, or businesses. Promotions may be offered by Tipz, a business, a third-party partner, or a network provider.

Promotions are subject to availability, program rules, expiration dates, geographic restrictions, anti-fraud controls, redemption limits, and partner terms. TFI may modify, suspend, or cancel any promotion where necessary to address fraud, legal compliance, funding failure, inventory issues, partner instructions, or platform integrity.

Unless expressly stated otherwise, promotions have no cash value, are non-transferable, may not be resold, and are void where prohibited. TFI is not responsible for third-party goods or services offered through any promotion, except to the extent required by law.

11. Disputes, Errors, Reversals, and Support

If you believe a transaction was submitted in error, was unauthorized, was misallocated, or failed to process correctly, you should contact TFI support promptly using the channels provided. Timing matters; late reports may reduce available remediation options.

TFI may investigate reported issues and may request additional information, including receipts, screenshots, bank records, identity data, or other supporting materials. TFI may coordinate with the Payment Processor and relevant counterparties to determine available remedies.

Chargebacks, reversals, processor claw-backs, suspected fraud, duplicate payments, obvious input errors, or legally compelled returns may affect prior payouts or create offsets against future amounts to the extent permitted by law and processor rules.

TFI is not obligated to provide refunds or payment reversals where a tipper intentionally authorized a transaction and the transaction was processed as presented, except as required by law or payment-network rules.

12. Account Suspension, Investigation, and Enforcement

TFI may suspend, limit, or terminate access to any user or account if TFI reasonably suspects fraud, misuse, deceptive conduct, sanctions exposure, unauthorized access, policy violations, excessive disputes, legal risk, or material harm to the platform or other users.

TFI may place content, campaigns, promotions, accounts, or payout activity into review. During review, certain features may be disabled and information may be shared with service providers, law enforcement, regulators, card networks, or other parties as reasonably necessary.

Where appropriate, TFI may require remediation steps as a condition of continued access, including password reset, verification updates, business record updates, revised configurations, fraud-prevention steps, or acceptance of updated terms.

13. Intellectual Property and License

TFI and its licensors own all right, title, and interest in and to the platform, including software, workflows, visual design, content, trademarks, trade dress, data compilations, and documentation, except for user-provided content and third-party materials.

Subject to these terms, TFI grants you a limited, revocable, non-exclusive, non-transferable license to access and use the platform solely for your internal business use or personal use, as applicable to your role, and solely in accordance with these terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, frame, mirror, or create derivative works from the platform except as expressly permitted in writing by TFI or as required by non-waivable law.

14. User Content and Feedback

You may provide content to Tipz, including business information, team rosters, support materials, promotional copy, logos, comments, tickets, and feedback. You represent that you have the rights needed to provide that content and to authorize TFI to use it for service delivery.

You grant TFI a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt, transmit, display, and use user-provided content as reasonably necessary to operate, support, improve, market, and secure the platform, subject to the privacy policy and any separate written restrictions.

If you provide ideas, suggestions, or feedback, TFI may use them without restriction or obligation to you, provided that TFI will not publicly identify you as the source without permission unless otherwise permitted by law.

15. Communications

By “Opting In” to or using a “Text Message Service” (as defined below) from TFI, you accept these Terms & Conditions.

This agreement is between you and TFI or one of its affiliates. All references to “TFI,” “we,” “our,” or “us” refer to Tipz Financial Inc., 11810 Grand Park Avenue | Suite 500 | North Bethesda, MD 20852.

DEFINITIONS

“Opting In,” “Opt In,” and “Opt-In” refer to requesting, joining, agreeing to, enrolling in, signing up for, acknowledging, responding to, or otherwise consenting to receive one or more text messages.

“Text Message Service” includes any arrangement or situation in which we send one or more messages addressed to your mobile phone number, including text messages (such as SMS, MMS, or successor protocols or technologies).

CONSENTING TO TEXT MESSAGING

By consenting to receive text messages from us, you agreed to these Text Messaging Terms and Conditions, as well as our Terms of Service – TFI and Privacy Policy – TFI, incorporated herein by reference. Curbo collects opt-in verbally over the phone. When a customer is registered for the first time, they are asked to provide the phone number, and staff is trained to ask if the customer would like to opt in to SMS-based notifications. They will be verbally informed that “Message and data rates may apply”, “Message frequency may vary”, and they can “text HELP for support or more information and STOP to unsubscribe at any time”. They will also be informed that their phone number will not be shared with third parties for marketing or promotional purposes.

E-SIGN DISCLOSURE

By agreeing to receive text messages, you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by replying STOP.

TFI TEXT MESSAGE SERVICE PRIVACY POLICY

We respect your privacy. We only use information you provide through this service to transmit your mobile messages and respond to you. This includes, but isn’t limited to, sharing information with platform providers, phone companies, and other vendors who assist us in the delivery of mobile messages. Mobile information will not be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. Nonetheless, we reserve the right always to disclose any information as necessary to satisfy any law, regulation or governmental request, to avoid liability, or to protect our rights or property. This Text Message Service Privacy
Policy applies to your use of the Text Message Service and isn’t intended to modify our general Privacy Policy – TFI, incorporated by reference above, which may govern the relationship between you and us in other contexts.

COSTS OF TEXT MESSAGES

We do not charge you for the messages you send and receive via this text message service. But message and data rates may apply, so depending on your plan with your wireless or other applicable provider, you may be charged by your carrier or other applicable provider.

FREQUENCY OF TEXT MESSAGES

This Text Messaging Service is for conversational person-to-person communication between you and our employees. We may send you an initial message providing details about the service. After that, the number of text messages you receive will vary depending on how you use our services and whether you take steps to generate more text messages from us (such as by sending a HELP request).

OPTING OUT OF TEXT MESSAGES

If you no longer want to receive text messages, you may reply to any text message with STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE. As a person-to-person communication service, opt-out requests are specific to each conversation between you and one of our employees and their associated phone number. After unsubscribing, we may send you confirmation of your opt-out via text message.

16. Disclaimers

TIPZ+ IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TFI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TFI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR AVAILABLE IN EVERY LOCATION OR FOR EVERY USER OR DEVICE. TFI DOES NOT WARRANT THAT ANY PAYMENT, POOL, PROMOTION, OR INTEGRATION WILL BE SUCCESSFUL OR LAWFUL FOR A PARTICULAR USER OR JURISDICTION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TFI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TFI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID TO TFI BY THE CLAIMANT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS. IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to defend, indemnify, and hold harmless TFI and its affiliates, officers, directors, employees, contractors, licensors, processors, and service providers from and against claims, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use of the platform; (b) your violation of these terms or applicable law; (c) your fraud, negligence, misconduct, or infringement; or (d) your content, configurations, promotions, employment practices, or business rules.

This indemnity is in addition to, and not in lieu of, any other remedies available to TFI at law or in equity.

19. Termination

You may stop using the platform at any time. TFI may terminate or suspend access at any time for convenience, for legal or risk reasons, or for material breach of these terms.

Termination does not affect accrued rights, outstanding obligations, surviving provisions, pending investigations, reserve or chargeback adjustments, or records TFI is required or permitted to keep.

20. Governing Law; Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the use of the platform shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located within the State of Maryland, and you hereby consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum or lack of jurisdiction.

21. Changes to Terms

TFI may update these terms from time to time. Material changes may be communicated through the platform, by email, or by other reasonable means. Continued use after the effective date of updated terms constitutes acceptance, except where applicable law requires additional consent.

22. Miscellaneous

These terms, together with incorporated policies and any executed order forms or supplemental agreements, form the entire agreement between you and TFI regarding the platform and supersede prior or contemporaneous understandings on that subject.

If any provision is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. TFI’s failure to enforce any provision is not a waiver. You may not assign these terms without TFI’s prior written consent. TFI may assign these terms in connection with a corporate reorganization, financing, merger, acquisition, or sale of assets.

Part II. Privacy Policy

This Privacy Policy describes how Tipz Financial Inc. collects, uses, discloses, stores, and protects personal information in connection with Tipz+ and related services. It should be supplemented with jurisdiction-specific notices as needed, including state privacy disclosures, cookie notices, and any international transfer language required by counsel.

1. Scope

This policy applies to information collected through Tipz+ websites, mobile web experiences, QR-code interactions, payment pages, business dashboards, support channels, marketing communications, promotional programs, and related services.

The policy applies differently depending on whether you interact as a tipper, tip earner, business representative, administrator, applicant, support contact, or general visitor. Certain processor-, bank-, or partner-provided notices may also apply.

3. How We Use Information

We use information to operate the platform, authenticate users, process or facilitate transactions, route payouts, support pooling logic, provide receipts, administer promotions, detect abuse, maintain security, and communicate with users.

We use information to troubleshoot issues, improve usability, analyze performance, personalize workflows, develop new features, measure campaign effectiveness, and maintain business records.

We may use information to comply with law, respond to legal requests, enforce our terms, prevent fraud and unauthorized activity, protect our rights and those of users, and coordinate with the Payment Processor and other service providers.

4. Role-Specific Data Uses

Tippers. Tipper data is primarily used to complete the gratuity experience, deliver receipts and support, present optional promotions, prevent fraud, and improve conversion and platform reliability.

Tip Earners. Tip earner data is used for account creation, verification, payout enablement, account servicing, support, fraud prevention, product messaging, and analytics relating to platform use and worker success.

Businesses. Business data is used to establish subscriptions, configure accounts, administer locations and administrators, support pooling and promotion tools, deliver analytics, and provide customer service, onboarding, and account management.

5. Cookies, Pixels, and Similar Technologies

TFI and its partners may use cookies, SDKs, local storage, tags, and similar technologies for authentication, security, load balancing, analytics, personalization, fraud prevention, campaign measurement, and feature performance.

Where required by law, TFI will provide a consent mechanism or preference center for non-essential tracking technologies. Browser settings alone may not fully control all technologies used in mobile-web or embedded contexts.

6. When We Share Information

We share information with service providers that help us operate the platform, including payment processors, identity and compliance vendors, hosting providers, customer-support vendors, email and SMS providers, analytics providers, and marketing or promotions partners.

We may share information with businesses and tip earners as necessary to operate the relevant transaction or account relationship. For example, a business may see certain team, location, or pooled allocation information, while a tip earner may see information relevant to received tips and associated context.

We may share information with legal authorities, regulators, payment networks, insurers, banks, auditors, professional advisers, or counterparties when reasonably necessary for legal compliance, fraud response, contract enforcement, or corporate transactions.

We may share information in connection with a merger, financing, acquisition, bankruptcy, sale of assets, or similar transaction, subject to appropriate confidentiality and legal safeguards.

7. Data Retention

TFI retains information for as long as reasonably necessary for the purposes described in this policy, including to provide the service, maintain records, resolve disputes, satisfy tax or accounting requirements, support fraud detection, and comply with legal, regulatory, or contractual obligations.

Retention periods may vary by data type and user role. Payment, verification, and support records often must be retained longer than routine marketing preferences or transient technical logs.

8. Security

TFI uses administrative, technical, and physical safeguards designed to protect personal information. These measures may include encryption in transit, access controls, role-based permissions, logging, vendor oversight, secure development practices, and incident response procedures.

No system is perfectly secure. Users are responsible for safeguarding credentials and promptly notifying TFI of suspected unauthorized access. Payment credentials may be collected and processed by the Payment Processor or other third parties under their own security controls.

9. User Choices and Rights

Depending on your location, you may have rights to access, correct, delete, or receive information about how your personal information is used, as well as rights to limit certain processing, appeal decisions, or opt out of certain marketing or sharing activities.

Users can generally update certain account information through the platform or by contacting support. Deletion requests may be limited where information must be retained for security, legal, payment, tax, or operational reasons.

10. Children’s Privacy

Tipz+ is not directed to children under the age specified by applicable law for digital consent, and TFI does not knowingly collect personal information from such children for consumer use cases. If TFI learns that it has collected information from a child in violation of law, it will take appropriate action.

11. Changes to This Policy and Contact Information

TFI may update this Privacy Policy from time to time. Material changes may be communicated through the platform or by other reasonable means.

Part III. Acceptable Use Policy

This Acceptable Use Policy applies to all users and supplements the Master Terms of Service. The examples below are illustrative and not exhaustive.

1. Prohibited Conduct

  • Using Tipz+ for unlawful, deceptive, fraudulent, abusive, harmful, or misleading activity.

  • Submitting, soliciting, or routing payments that are not genuine gratuities or otherwise permitted by TFI program rules.

  • Using the platform in connection with prohibited goods, services, industries, or counterparties restricted by law, sanctions, card-network rules, processor requirements, or TFI risk policies.

  • Impersonating another person or business, falsifying account information, misrepresenting employment status, or manipulating team or pooling data.

  • Attempting to circumvent fees, platform restrictions, risk controls, geographic limits, verification processes, or access controls.

  • Interfering with the platform, introducing malware, scraping content or data, reverse engineering services, or probing vulnerabilities without authorization.

  • Using QR codes, signage, domains, or communications in a way that deceives users about the origin, recipient, or purpose of a transaction.

  • Using promotions in a deceptive, automated, duplicative, or abusive manner, including fake redemptions, offer laundering, or self-dealing.

2. Enforcement

TFI may investigate suspected violations and may suspend or terminate accounts, disable promotions, block transactions, remove content, preserve evidence, notify counterparties, or report activity to the Payment Processor, law enforcement, or regulators.

TFI may adopt category-specific restrictions for certain industries, channels, or transaction patterns, and may update those restrictions without prior notice where reasonably necessary for risk or compliance purposes.

Part IV. Tipz+ for Business Subscriber Terms

These Business Subscriber Terms apply in addition to the Master Terms of Service whenever a business, location, team, or organization uses Tipz+ for Business.

1. Subscription and Authority

The individual accepting these terms on behalf of the business represents and warrants that they have authority to bind the business and any participating locations or affiliates identified in the order form or account setup.

TFI may require an order form, online checkout, administrator setup, or other acceptance flow to activate a business subscription. Subscription scope may be defined by location, seat, feature package, team size, or transaction volume.

2. Business Responsibilities

The business is responsible for identifying authorized administrators, maintaining accurate business records, managing internal permissions, and ensuring that only authorized persons configure locations, teams, pooling rules, promotions, or employee status information.

The business is responsible for obtaining any internal approvals, employee notices, handbook updates, consents, or policy acknowledgments needed for its own use of Tipz+ for Business.

The business will not use Tipz+ for Business as a substitute for legal, payroll, HR, or tax compliance review. Any business analytics, exports, dashboards, or suggested configurations are informational only.

3. Pooling Tools

If pooling tools are enabled, the business may create or modify supported allocation logic. TFI may require fields such as location, date, shift, role, roster, or percentage allocations in order to operationalize those rules.

The business acknowledges that pooling tools do not transfer custody or control of funds to the business. The business’s role is limited to configuring business logic supported by the platform. TFI and the Payment Processor retain control over platform execution, payout eligibility, and risk or compliance requirements.

The business is solely responsible for determining whether a proposed pool is lawful and appropriate, including which workers may share in a pool, whether managers may participate, how records must be kept, and whether local wage laws impose additional conditions.

4. Promotions and Sponsored Campaigns

Businesses may be permitted to create, sponsor, or administer promotions subject to feature availability, underwriting, campaign rules, funding mechanics, approval workflows, and partner requirements.

Where a promotion is funded or reimbursed by a business, the final production documents should be supplemented with detailed program terms addressing campaign funding, redemptions, billing, misuse, limits, customer support, and any consumer law disclosures.

TFI may reject or suspend a campaign that is misleading, discriminatory, unlawful, poorly funded, operationally infeasible, inconsistent with platform standards, or likely to create user confusion or reputational harm.

5. Fees, Billing, and Renewal

Business pricing may include free tiers, implementation fees, subscription charges, optional add-on fees, promotional program fees, usage-based fees, or other charges stated in an order form, checkout page, pricing schedule, or statement of work.

Unless otherwise stated in writing, subscriptions renew automatically for successive terms equal to the initial term, and the business authorizes TFI or its billing provider to charge the payment method on file for applicable recurring charges.

Late payment may result in suspension, downgrade, restriction of features, or termination. TFI may charge interest or reasonable collection costs to the extent permitted by law and contract.

6. Business Data; Publicity; Branding

The business grants TFI a limited license to use its name, logos, signage assets, location information, and operational content as reasonably necessary to deliver the service. Any broader publicity rights, case-study rights, or logo-display rights should be finalized in the commercial agreement or disabled until separately approved.

Businesses remain responsible for the accuracy and legality of any copy, claims, images, terms, or other materials they upload or direct TFI to display.

7. Suspension and Termination

TFI may suspend or terminate business access for non-payment, misuse, legal risk, fraud concerns, harmful configurations, repeated disputes, or violation of these terms. The business remains responsible for charges accrued before termination and for surviving obligations.

Part V. Tip Earner Terms

These Tip Earner Terms apply in addition to the Master Terms of Service whenever an individual receives or seeks to receive payouts through Tipz+.

1. Independent Access to Tipz+

A Tip Earner may register and use Tipz+ even if their employer or associated business does not subscribe to Tipz+ for Business, provided that the Tip Earner completes required onboarding and complies with platform rules.

Use of Tipz+ by a Tip Earner does not create an employment relationship with Tipz. TFI does not hire, supervise, direct, or control the work performed by Tip Earners.

2. Onboarding and Verification

Tip Earners must provide truthful and current information and complete all onboarding steps required by TFI and the Payment Processor. These steps may include identity verification, sanctions screening, tax information collection, payout account setup, and periodic re-verification.

TFI may require additional documents or information where necessary to satisfy legal, processor, fraud-prevention, or security requirements.

3. Payouts

Eligibility for payout depends on successful onboarding, processor approval, valid payout credentials, account standing, and compliance with platform rules. TFI may withhold, delay, or adjust payouts where necessary to respond to disputes, fraud, processor reversals, legal requirements, incorrect account data, or other operational issues.

Tip Earners acknowledge that processor fees, bank processing times, reserve practices, chargebacks, or payout-method limitations may affect the availability and timing of funds.

4. Tax and Legal Responsibility

Tip Earners are solely responsible for determining, tracking, reporting, and paying any taxes applicable to amounts received through Tipz+, and for understanding whether they are employees, contractors, sole proprietors, or otherwise classified under applicable law.

TFI does not determine whether a Tip Earner is entitled to retain all amounts received under a separate employer policy, contract, or legal rule. Tip Earners are responsible for resolving workplace or contractual issues directly with the relevant business or adviser.

5. Conduct and Misuse

Tip Earners may not use fake QR codes, impersonate other workers or locations, redirect gratuities dishonestly, game promotions, or use the platform for non-genuine tipping or other prohibited activity.

TFI may suspend access, remove QR assets, restrict payouts, or terminate accounts where it detects suspected misuse, manipulation, misrepresentation, or legal risk.
